These Terms of Service (“Terms”) govern your access to and use of the website, funnels, forms, and services provided by Pura Vida Marketing (“Company,” “we,” “us,” “our”). By accessing our website or purchasing our services, you agree to these Terms.

If you do not agree, do not use our website or services.

1. Services

We provide marketing and business systems services, which may include (depending on your purchase): landing pages, funnels, email and SMS automations, CRM and pipeline setup, basic reporting setup, and related consulting (“Services”).

Some services may be delivered through third-party platforms, including GoHighLevel or other providers.

2. No Professional Advice

We are not attorneys, accountants, or financial advisors. Any funding runway planning, cash flow inputs, or business strategy support is for informational purposes only and does not constitute legal, tax, accounting, or financial advice. You are responsible for making your own business decisions.

3. Client Responsibilities

To deliver Services on time, you agree to:

Provide accurate information and requested assets (logos, copy inputs, links, calendar availability, etc.)

Respond to requests and approvals within a reasonable timeframe (recommended within 48 hours during build periods)

Maintain access to any required accounts (domain registrar, email provider, social accounts, payment processors, etc.)

Use the system ethically and legally, including compliance with email and SMS marketing laws

Delays in your responses or asset delivery may delay timelines.

4. Accounts and Third-Party Tools

We may use third-party tools to deliver Services (for example, GoHighLevel, email/SMS providers, payment processors). Your use of those services may also be subject to their own terms and policies. We are not responsible for outages, service interruptions, or policy changes from third parties.

5. Platform Hosting (Monthly Subscription)

If you purchase hosting through us (for example, a GoHighLevel sub-account), you are purchasing access to a hosted environment where your funnels, CRM, automations, and related assets can live.

Hosting typically includes:

Continued access to your hosted system during an active subscription

Basic platform continuity and account-level maintenance

Hosting does not include:

Ongoing edits or marketing services unless you separately purchase a support plan

Unlimited troubleshooting for third-party services outside our control

Free Trial (If Offered)

If your hosting includes a free trial (for example, first month free), billing begins after the trial ends unless you cancel prior to the trial end date.

6. Support Plans (Optional Monthly Subscription)

If you purchase an ongoing support plan, it may include a defined number of small requests per month, based on your chosen tier.

Small requests may include:

Minor text updates

Link swaps

Image replacement

Simple form edits

Tag or automation adjustments

Support plans do not include full redesigns, new funnels, new campaigns, custom development, extensive copywriting, or ad management unless specifically included in writing.

Unused requests do not roll over unless explicitly stated.

7. Fees, Payments, and Billing

You agree to pay all fees associated with your purchase. Prices are listed on our order form, invoice, checkout page, or proposal.

Payment Plans

If you enroll in a payment plan:

You authorize us to charge the payment method on file according to the payment schedule.

Failure to pay may result in paused work, paused access, or termination of access to hosted services.

Failed Payments

If a payment fails, we may attempt to reprocess. If payment is not resolved, access to hosted services or support may be suspended.

8. Refund Policy

Because we deliver time-based and digital services, all sales are final unless otherwise stated in writing.

If you have a concern about deliverables, contact us within 7 days of delivery so we can review and address issues within the scope of what you purchased.

Platform subscriptions (hosting and support) are typically non-refundable once a billing cycle begins, unless required by law.

9. Intellectual Property

Our Materials

We retain ownership of our proprietary frameworks, templates, checklists, processes, and internal documentation. You may not resell, distribute, or publish our proprietary materials without written permission.

Client Materials

You retain ownership of your pre-existing brand assets and content you provide.

Deliverables

Upon full payment, you receive a license to use the deliverables we create for your business. We may reuse non-confidential learnings or anonymized results for internal improvements unless you request otherwise in writing.

10. Confidentiality

We will treat your non-public business information as confidential and will not share it except as needed to deliver services or as required by law.

11. Testimonials and Marketing

You may be invited to provide a testimonial. You can decline. If you provide a testimonial, you grant us permission to use it for marketing, unless you revoke permission in writing.

12. Compliance With Marketing Laws

You agree to comply with applicable laws and regulations for email and SMS marketing, including obtaining proper consent from contacts and honoring opt-out requests. You are responsible for your contact lists and your claims in marketing content.

13. Disclaimer of Warranties

Services are provided “as is” and “as available.” We do not guarantee specific results (including revenue, leads, conversions, funding approval, or business outcomes). Outcomes depend on many factors outside our control, including your offer, market, follow-through, and audience.

14. Limitation of Liability

To the maximum extent permitted by law, Pura Vida Marketing will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

Our total liability for any claim related to the Services will not exceed the amount you paid us in the three months immediately preceding the event giving rise to the claim.

15. Termination

We may suspend or terminate access to services or hosted systems if:

payments are not made

you violate these Terms

you use the system for unlawful activity

You may cancel subscriptions according to the cancellation method provided in your account or by contacting us.

16. Governing Law

These Terms are governed by the laws of the State of Wyoming without regard to conflict of law principles.
